Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Eric Michael Smith d/b/a AI42 Tech ("AI42," "we," "us," or "our"), governing your access to and use of the AI42 platform, website, applications, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, creating an account, or clicking "I agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.

Certain features of the Service, including financial tracking tools and any AI-assisted trading features, are available only to users who are at least 18 years of age. By accessing these features, you represent that you are at least 18 years old and legally permitted to use such features in your jurisdiction.

3. Account Responsibilities

To use the Service, you must create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the security and confidentiality of your account credentials.
• Not share your account credentials with any third party.
• Notify us immediately of any unauthorized access to or use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete, or if we reasonably believe your account has been compromised.

4. The Service

AI42 is an AI-powered productivity and personal assistant platform. The Service includes, but is not limited to, the following features:

• Task management with multiple views (boards, lists, calendar, timeline, mind maps)
• AI conversational assistant with text and voice input
• AI semantic memory that learns your preferences and context
• Meeting transcription, summarization, and action items
• Personal finance and budget tracking
• Calendar management and scheduling
• Note-taking and journaling
• Health and wellness tracking
• Third-party integrations (Google Workspace, and others)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

5. AI Disclaimers

• a.Informational Purposes Only. All AI-generated output, including responses, suggestions, summaries, analyses, and recommendations, is provided for informational and general productivity purposes only.
• b.Not Professional Advice. AI output does NOT constitute financial advice, investment advice, legal advice, medical advice, tax advice, accounting advice, or any other form of professional advice. You should always consult qualified professionals before making decisions based on any information provided by the AI.
• c.Accuracy Not Guaranteed. AI may produce inaccurate, incomplete, outdated, misleading, or entirely fabricated results (commonly referred to as "AI hallucinations"). AI42 does not warrant the accuracy, completeness, reliability, or suitability of any AI output.
• d.User Verification Required. You are solely responsible for independently verifying all AI output before relying on it or taking action based on it.
• e.Not a Registered Investment Advisor. AI42 is NOT a registered investment advisor, broker-dealer, financial planner, or financial institution. No part of the Service should be construed as an offer, solicitation, or recommendation to buy, sell, or hold any security or financial instrument.
• f.No Fiduciary Relationship. Use of the Service does not create a fiduciary relationship, advisory relationship, or any other special relationship between you and AI42. We owe you no duty beyond what is expressly stated in these Terms.

6. AI Trading Features

• a.Experimental/Beta Feature. All AI-assisted trading features are provided on an experimental or beta basis. They may contain errors, may not function as expected, and are subject to change or removal at any time without notice.
• b.Past Performance Disclaimer. Past performance, whether actual or indicated by historical tests of strategies, is not indicative of future results. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
• c.Risk of Substantial Financial Loss. Trading in securities, options, futures, cryptocurrencies, and other financial instruments involves substantial risk of loss. You could lose some or all of your invested capital. Only trade with money you can afford to lose entirely.
• d.Not Investment Advice. No AI output related to trading constitutes investment advice, a recommendation, or a solicitation. Any mention of specific securities, strategies, or market conditions by the AI is for informational purposes only.
• e.Sole Responsibility. You are solely and entirely responsible for all trading and investment decisions you make. AI42 accepts no liability for any financial losses incurred as a result of using the Service.
• f.Human Oversight Required. You must maintain human oversight of all trading activities. Do not rely solely on AI-generated signals, analyses, or automation for trading decisions. Always review and approve any trade before execution.

7. User Content

"User Content" means any data, text, files, documents, images, or other materials you upload, create, or store through the Service.

Ownership

You retain all ownership rights to your User Content. AI42 does not claim ownership of any User Content you create or store on the platform.

License to AI42

By submitting User Content to the Service, you grant AI42 a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service to you. This license terminates when you delete your User Content or your account, except as needed for backups and legal obligations.

Your Responsibility

You are solely responsible for your User Content and represent that you have all necessary rights to submit it. You agree not to upload content that is illegal, infringing, defamatory, or otherwise objectionable. We reserve the right to remove User Content that violates these Terms.

8. AI-Generated Content

"AI-Generated Content" refers to any output generated by the AI features of the Service in response to your input or prompts.

Ownership

Subject to applicable law and the terms of our upstream AI providers, you may use AI-Generated Content created for you through the Service. However, the legal status of AI-generated content ownership varies by jurisdiction and is an evolving area of law. AI42 makes no representations regarding your exclusive ownership or intellectual property rights in AI-Generated Content.

No Guarantee of Originality

AI-Generated Content may be similar or identical to content generated for other users or content that exists elsewhere. AI42 does not guarantee the uniqueness or originality of any AI-Generated Content.

Disclaimer

AI-Generated Content is provided "as is" without any warranties. You are responsible for reviewing, verifying, and ensuring the appropriateness and accuracy of any AI-Generated Content before use.

9. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, distribute, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other users' accounts, or any connected systems.
• Interfere with or disrupt the Service or servers/networks connected to the Service.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
• Use the Service to develop a competing product or service.
• Use automated means (bots, scrapers, crawlers) to access the Service except through approved APIs.
• Circumvent or attempt to circumvent any rate limits, access controls, or security measures.
• Use the AI features in ways that violate the acceptable use policies of our upstream AI providers (OpenAI, Anthropic, Google, and others), including generating prohibited content categories as defined by those providers.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Use the Service for high-risk activities where AI failure could lead to death, personal injury, or significant property damage without adequate human oversight.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

10. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, source code, graphics, logos, trademarks, and all related intellectual property, is and remains the exclusive property of Eric Michael Smith d/b/a AI42 Tech and its licensors.

The AI42 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Eric Michael Smith d/b/a AI42 Tech. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

11. Subscription & Billing

Plans

The Service offers various subscription plans, including a free tier and paid tiers with additional features and higher usage limits. Details of current plans and pricing are available on our Pricing page.

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged at the then-current rate unless we provide advance notice of a price change.

Refunds

Payments are generally non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period. We may, at our sole discretion, offer refunds or credits on a case-by-case basis.

Price Changes

We may change our subscription prices from time to time. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing period. Your continued use after a price change constitutes acceptance of the new price.

Payment Processing

Payment processing is handled by Stripe, Inc. Your payment information is transmitted directly to Stripe and is not stored on our servers. Your use of Stripe is subject to Stripe's own terms of service and privacy policy.

You agree to defend, indemnify, and hold harmless Eric Michael Smith d/b/a AI42 Tech ("AI42"), its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) your User Content; or (e) any trading or investment decisions you make based on information obtained through the Service.

14. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in the Commonwealth of Pennsylvania or, at the election of either party, via videoconference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND AI42 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and AI42 agree otherwise, the arbitrator may not consolidate or join more than one person's claims.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought there.

15. Termination

Either party may terminate this agreement at any time:

• By You: You may terminate your account at any time by deleting it through your account settings or by contacting us. Upon termination, your right to use the Service will cease immediately.
• By AI42: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms. We may also terminate accounts that are inactive for an extended period.

Upon termination, provisions that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Service, updating the "Last Updated" date, and/or sending you an email notification. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.

17. General Provisions

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AI42 regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Waiver

The failure of AI42 to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by AI42.

Assignment

You may not assign or transfer these Terms or your rights under them without AI42's prior written consent. AI42 may assign these Terms without restriction. These Terms are binding on each party's successors and permitted assigns.
